1. Acceptance of Terms
By creating an account, accessing, or using ProposalKit (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you may not use the Service.
2. Description of the Service
ProposalKit is an AI‑powered proposal generation tool for service businesses. The Service allows users to create accounts, generate proposals using AI, customize branding, send proposals to clients, and manage related workflows. The Service is provided on a subscription basis with tiers: Starter ($19/month, 10 proposals) and Pro ($49/month, unlimited proposals).
3. User Accounts
To use the Service, you must create an account through our authentication provider (Clerk). You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
4. User Responsibilities
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for the content you input, generate, and send through the Service, including business details, client information, job descriptions, and budgets. You must not use the Service to transmit malicious code, violate third‑party rights, or engage in fraudulent activities.
5. Data Handling
ProposalKit stores proposal data, including business details, client information, job descriptions, and budgets, on our infrastructure (Prisma Postgres). By using the Service, you grant us a limited, non‑exclusive license to store, process, and display your data as necessary to provide the Service. You retain ownership of your data. Upon account deletion, your data is wiped; however, we may retain your email address for fraud prevention purposes as outlined in our Privacy Policy.
6. AI‑Generated Content Disclaimer
ProposalKit uses artificial intelligence to assist in generating proposal content. While we strive for accuracy, AI‑generated content may contain errors, omissions, or inaccuracies. You are responsible for reviewing, editing, and approving all proposals before sending them to clients. ProposalKit does not guarantee the accuracy, completeness, or suitability of any AI‑generated content for your specific needs.
7. Payment Terms
Subscription fees are billed in advance on a monthly basis. All payments are processed through our third‑party payment processor. You agree to pay all applicable fees and taxes. Prices are subject to change with notice. You may upgrade or downgrade your subscription at any time; changes take effect at the next billing cycle.
8. Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial months. Upon cancellation, you will retain access to the Service until the end of the billing period.
9. Intellectual Property
ProposalKit and its underlying technology, including AI models, software, and design, are the property of ProposalKit or its licensors. You retain ownership of the content you create using the Service. You grant ProposalKit a limited license to use, reproduce, and display your content solely to provide the Service.
10. Limitation of Liability
To the maximum extent permitted by law, ProposalKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Governing Law
These Terms are governed by the laws of Canada, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Canada, unless otherwise required by applicable law.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
